The platform vs. your care
Diadara provides a technology platform and administrative services. Medical care is provided by an independent, physician-owned professional corporation. Diadara does not practice medicine and does not make clinical decisions.
Diadara (the "MSO") owns and operates the technology platform, storefront, Sage, and administrative operations. Medical services are provided exclusively by an independent, physician-owned professional corporation (the "PC") whose licensed providers are solely responsible for all clinical decisions.
Intake, checkout, billing, and the patient portal are operated by our platform partner. Medications are dispensed by independent licensed US compounding pharmacies only after a licensed provider issues a valid prescription; compounded medications are not reviewed or approved by the FDA for safety or effectiveness.
Who may use Diadara
Diadara is available only to individuals who are at least 18 years old and located in the United States. By using the platform you represent that you meet these requirements. Treatment is provided only where clinically appropriate and permitted by applicable state and federal law, and the medications available to you may vary by state.
Your account
You are responsible for the accuracy of the information you provide and for keeping your account credentials secure. Do not share your login, and tell us promptly if you believe your account has been accessed without your permission. You are responsible for activity that occurs under your account. Accurate health information matters to your safety — providing false or incomplete information may lead a provider to decline care.
Acceptable use
You agree not to:
- use the platform for any unlawful purpose or in violation of these Terms;
- submit information that is false, misleading, or not your own, or impersonate another person;
- attempt to obtain a prescription for anyone other than yourself, or resell or redistribute any medication;
- interfere with, disrupt, probe, or attempt to gain unauthorized access to the platform, its security, or other users' data; or
- scrape, copy, or reverse-engineer the platform except as permitted by law.
Subscriptions & billing
Plans are recurring subscriptions that auto-refill. Your dose — and price — may change over time only with licensed-provider approval. Prescriptions have limited validity (GLP-1 up to 6 months; other prescriptions up to 12 months), after which a new provider review is required. You may cancel at any time from your patient portal; cancellation stops future charges and does not retroactively refund a completed charge or dispensed medication. You are charged when you enroll, and if a provider determines treatment is not right for you, your medication payment is fully refunded. See the Shipping & Refund Policy.
Educational information
Information presented by Diadara and Sage is educational only and is not medical advice. Sage is an education assistant; it does not diagnose, recommend treatment, or provide dosing, and it does not create a provider-patient relationship. Diadara provides no dosing, reconstitution, or administration guidance. A provider-patient relationship is formed only if and when a licensed provider at the PC accepts you as a patient.
No medical guarantee
Enrolling or completing an intake does not guarantee that you will be prescribed any treatment. A licensed provider prescribes only when it is clinically appropriate, and may decline care. Individual results vary and are not guaranteed.
Service provided "as is"
The Diadara platform and website are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the platform will be uninterrupted, secure, or error-free. This disclaimer applies to the technology platform only; it does not limit any rights you have with respect to the medical care provided to you by the PC or its licensed providers, or any rights that cannot be waived under applicable law.
Limitation of liability
To the fullest extent permitted by law, Diadara's total liability to you arising out of or relating to the platform or these Terms will not exceed the total fees you paid to Diadara in the twelve (12) months before the event giving rise to the claim. Diadara will not be liable for indirect, incidental, special, consequential, or punitive damages. These limits do not apply to liability arising from Diadara's willful misconduct or gross negligence, to fraud, or to any liability that cannot be limited under applicable law. Nothing in these Terms limits the professional responsibility of the PC or its licensed providers for the medical care they provide.
Indemnification
Each party will defend and indemnify the other against third-party claims to the extent those claims are caused by the indemnifying party's breach of these Terms, violation of law, or negligence or willful misconduct. This obligation is mutual and fault-based: neither party is responsible for claims caused by the other party's acts or omissions.
Governing law & venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute that is not otherwise subject to binding arbitration or a claims process presented to you at intake will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts. These provisions apply to your relationship with Diadara (the MSO) regarding the platform; the terms governing intake, billing, and care presented to you through our platform partner control where they differ as to those services.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the version above and, where appropriate, provide notice through the site or by email. Changes take effect when posted, and your continued use of the platform after that means you accept the updated Terms. If you do not agree, stop using the platform and you may cancel as described above.
Termination
You may stop using the platform and cancel your subscription at any time from your patient portal. We may suspend or end your access if you violate these Terms, if required to protect the platform or other users, or if we can no longer lawfully provide the service. Sections that by their nature should survive — including the disclaimers, limitation of liability, indemnification, and governing-law provisions — survive termination.
How you accept these Terms
Browsing the website does not, by itself, make these Terms binding. You accept these Terms, along with the telehealth informed consent, HIPAA notice, and other required agreements, when you affirmatively agree to them during intake and checkout with our platform partner. The version you accept at that time governs your use of the service.
